Hauser to stay on at Nexans
Nexans’ Board of Directors – in a move to demonstrate “its confidence in the Chairman and CEO Gérard Hauser” – will submit to shareholders a proposal to prolong Gérard Hauser’s term as Director until the Annual Shareholders’ Meeting which will approve the 2009 accounts (Gérard Hauser’s current term will end during the first half of 2007).
If this resolution is adopted, the Board of Directors meeting held immediately after the 2006 Shareholders’ Meeting (due to be held on 15th May) will reappoint Gérard Hauser as Chairman and CEO until the first half of 2009.
The Board of Directors, with the agreement of the Appointments and Compensation Committee, will also appoint Frédéric Vincent to the newly created position of Chief Operating Officer. Frédéric Vincent is currently Nexans’ Chief Financial Officer.
The new Chief Operating Officer will act as the CEO’s deputy in Group Management. As such, Frédéric Vincent will be delegated to supervise specific operations, the North America Area and, in Gérard Hauser’s absence, chair Nexans’ Executive Committee.
Gérard Hauser, 64, has been Chairman and CEO of Nexans since June 2001. Before joining Alcatel in 1996 as President of the Cables and Components sector and member of Alcatel’s Executive Committee, he held various key positions at Pechiney Group from 1975 to 1996 including, as COO of American National Can (Beverage cans) and Member of Pechiney Group’s Executive Committee.
Frédéric Vincent, 51, is currently Nexans’ Chief Financial Officer and a member of the Group’s Executive Committee. After joining Alcatel in 1986, he entered the Cables and Components sector in 1989, where he was appointed Deputy Managing Director (Administration and Finance) of Alcatel’s undersea telecommunications activities. In 1997, he was appointed Deputy Managing Director of Saft, Alcatel’s batteries activity.
